The investment was structured as a Shared Earnings Agreement, a performance-based financing tool that is neither a traditional loan nor an equity investment. Instead of requiring fixed monthly payments or giving investors permanent ownership, the agreement allows investors to receive a defined share of founder earnings above a set threshold until a capped return is reached.
